On July 21, 2010, United States’ President Barack Obama signed into law the Dodd-Frank Wall Street Reform and Consumer Protection Act. The legislation has been widely publicized and studied. The financial services sector of the U.S. economy will be especially affected by the legislation. In particular, hedge fund managers, long the object of regulatory desire in the hearts of some government officials, will finally come under the oversight of the U.S. Securities and Exchange Commission. Hedge fund managers will be required to register with the SEC within one year of the enactment of the legislation. The registration and oversight provisions were meant to be comprehensive and they are. Yet, there are exceptions to the requirement to register with the SEC. What are they? And what is the significance of being registered as an investment adviser with the SEC? What sort of records will hedge fund managers be required to keep. What other regulatory requirements come with the obligation to register?
